Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Best AI Solutions platform, including all associated services, AI agents, and related technologies (collectively, the "Service").

1. Service Description

Best AI Solutions provides an AI-powered Digital Workforce for local service businesses. The Service includes AI agents that perform marketing, communication, and operational tasks on behalf of your business, including but not limited to: managing Google Business Profiles, social media accounts, phone calls, websites, paid advertising, video content, and customer nurture sequences.

2. Account Registration

You must provide accurate and complete business information during registration. You are responsible for maintaining the security of your account credentials. You must be at least 18 years old and have the legal authority to bind the business entity you are registering.

3. Call Recording & Audit Trail

All interactions handled by AI agents, including phone calls, text messages, and chat conversations, are recorded, transcribed, and stored in an immutable audit trail. Call recordings are stored with cryptographic verification and cannot be altered after creation. By using the Service, you consent to this recording and agree to notify your customers as required by applicable law.

4. Third-Party Account Access

To provide the Service, you may grant us manager or admin access to your business accounts on third-party platforms (Google Business Profile, Facebook, Instagram, YouTube, Nextdoor, Google Ads, Meta Ads). You represent that you have the authority to grant such access. We will only use this access to perform the services you have hired your AI agents for. You may revoke access at any time.

5. Content Approval

You choose how much control you retain over agent-generated content through approval modes (Autopilot, Batch Approve, or Approve Each). Content published in Autopilot mode is deemed approved by you. You are ultimately responsible for all content published on your business accounts, regardless of approval mode.

6. Billing & Payment

The Service is billed monthly via Stripe. The base platform fee is $50/month. Each AI agent is an additional $50/month. Pass-through charges (domain registration, Google Workspace email) are billed separately at cost. All prices are in USD. Failed payments will be retried per Stripe's default retry schedule. Accounts with payments overdue by 30+ days may be suspended.

7. Cancellation & Data Retention

You may cancel at any time by notifying Ava or through your Control Center. Cancellation is effective at your next billing date — no prorated refunds for partial months. After cancellation, you retain read-only access to your data (reports, transcripts, lead history) for 12 months, after which it is permanently deleted.

8. Acceptable Use

You agree not to use the Service to:

• Send unsolicited messages to purchased or rented contact lists
• Publish false, misleading, or defamatory content
• Violate any applicable laws, regulations, or third-party platform terms of service
• Attempt to reverse-engineer, copy, or redistribute the Service
• Incentivize reviews in violation of platform policies

9. Limitation of Liability

The Service is provided "as is." While we strive for accuracy and reliability, AI-generated content may occasionally contain errors. We are not liable for any indirect, incidental, or consequential damages arising from the use of the Service, including but not limited to lost revenue, lost data, or business interruption. Our total liability is limited to the fees you paid in the 12 months preceding the claim.

10. Intellectual Property

Content created by AI agents on your behalf (social posts, blog posts, ad copy, videos, website content) is owned by you. The underlying AI technology, platform software, and agent architectures remain the intellectual property of Best AI Solutions.

11. Changes to Terms

We may update these Terms from time to time. We will notify active clients of material changes via Ava (SMS) at least 30 days before changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of Idaho. Any disputes will be resolved in the courts of Ada County, Idaho.
